Terms of Service

Effective Date: 1st November 2025

By registering for or using the Tipsitickets platform (“Platform”), you accept and agree to these Terms of Service (“Terms”). If you do not agree, please do not use the Platform.

1. Definitions

“We”, “Us”, “Our” means Tipsitickets Ltd, a company registered in Kenya.

“You”, “User” means any person or entity accessing or using the Platform — whether as an Event Organiser or a Ticket Buyer.

“Event” means any public or private event listed on the Platform for which tickets are sold.

“Ticket” means the electronic or physical voucher granting admission to an Event.

“Service Fee / Commission” means the fee we charge to Event Organisers — 5% (five per cent) of the gross ticket sales price (exclusive of taxes).

“Platform Fee” means any fee billed to Ticket Buyers (if any) — as displayed at checkout.

“Content” means any text, images, graphics, videos, audio or other material uploaded, posted or displayed by Users or Us.

“Applicable Law” refers to the laws of Kenya, including the Constitution of Kenya, the Data Protection Act 2019, the Consumer Protection Act and other relevant statutes.

2. Acceptance of Terms

By creating an account, purchasing a Ticket, listing an Event or using the Platform in any way, you agree to be bound by these Terms and any future modifications. We may amend these Terms at our sole discretion and will publish the revised version on the Platform; your continued use of the Platform constitutes acceptance of such revisions.

3. User Accounts and Registration

Certain features of the Platform require you to register an account. You agree to provide accurate, current and complete information and to update it as required.

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.

You must be at least 18 years of age and legally capable of entering into enforceable contracts.

If registering on behalf of an organisation (for example as an Event Organiser), you warrant that you have authority to bind that organisation and you will notify us of any changes in representative or organisational status.

4. Event Listings (Event Organisers)

If you list an Event on the Platform you represent and warrant that:

  • you are the host/organiser of the Event (or have all necessary rights, licences and permits);
  • all information you provide (Event name, date, time, location, ticket prices, refunds policy, description, images) is accurate and lawful;
  • you will comply with all Applicable Law (including local government, health and safety, fire and crowd-management laws).

You grant Us a non-exclusive, royalty-free licence to display, reproduce and distribute your Event listing Content on the Platform, promotional materials and affiliated channels.

We reserve the right to review, approve, reject or remove any Event listing at our discretion (for example if we believe it violates these Terms or is otherwise objectionable).

You set ticket pricing and other terms for your Event. Our commission of 5% applies on the gross ticket price (exclusive of taxes). Payment and settlement terms will be governed by your dashboard or Event Organiser Agreement.

We reserve the right to admit up to five (5) of our staff per Event (with All-Access Tickets or equivalent credentials) at no charge, for each Event listed on the Platform. You agree to facilitate reasonable access for these staff as required.

5. Ticket Purchases (Ticket Buyers)

Ticket Buyers agree to purchase Tickets for Events listed via the Platform. You must pay the face value of the ticket, any Platform Fee (if applicable), taxes and any other applicable charges.

Ticket availability is subject to change; we do not guarantee that tickets will remain available until you complete your checkout.

Upon successful purchase you will receive an electronic Ticket (via email or SMS) that contains a unique code or QR/bar-code for Event admission. You are responsible for providing correct contact information.

Tickets are non-transferable unless explicitly permitted by the Event Organiser. Resale or scalping of tickets without explicit prior approval is prohibited.

You must present your Ticket (or corresponding code) at the Event check-in or entry point. We and the Event Organiser are not responsible if you cannot attend due to your failure to present a valid Ticket or Photo ID (if required).

By purchasing a Ticket (and by attending the Event) you acknowledge and agree that we, our authorised agents and the Event Organiser may photograph, film or record you (or your group) during the Event and may publish or use that content for promotional, marketing or social-media purposes. You grant us a worldwide, royalty-free, non-exclusive licence to use, reproduce, display, distribute and publish such content across our channels in perpetuity. If you do not consent to such recording and use of your likeness, you must notify the Event Organiser or Us in writing in advance of attendance. Failure to provide such notice may result in denied admission.

6. Service Fees, Pricing and Payment Processing

Event Organisers agree to pay a commission of 5% of the gross ticket sales (exclusive of taxes) for each ticket sold via the Platform.

We may also charge payment processing fees or Platform Fees to Ticket Buyers; such fees will be clearly displayed at checkout.

Payment to the Event Organiser: after the Event or according to the settlement terms, we will remit the net proceeds to your nominated account (gross ticket sales minus our commission, taxes, refunds or chargebacks and any applicable deductions).

We reserve the right to correct any pricing or typographical errors, cancel orders placed at an incorrect price, or adjust refunds or reimbursements in accordance with these Terms.

7. Cancellations, Postponements and Refunds

Event Organisers must clearly provide their refund, cancellation or postponement policy in their Event listing.

If an Event is cancelled, the Event Organiser may choose one of the following:

  • issue refunds to Ticket Buyers via the Platform; or
  • reschedule the Event and transfer Tickets to the new date (or allow credit) — the Organiser must clearly communicate this to Buyers.

If an Event is postponed, Tickets may remain valid for the new date. Ticket Buyers will be notified. Refunds may only be requested within a stated period after the Organiser’s announcement (the Organiser may specify this window).

Unless otherwise stated by the Event Organiser, all sales are final once a Ticket is purchased. No refunds will be provided for non-attendance, change of mind or Event minor changes (unless the Organiser’s policy provides otherwise).

We are not responsible for refunds if the Event Organiser fails to perform the refund. We may hold certain funds in escrow or reserve them in our discretion to protect Buyers and the Platform.

8. Content, Intellectual Property and Licence

All content on the Platform (including website design, graphics, logos, software, tickets, marketing material) is protected by copyright, trademark and other intellectual property laws. You may download or print one copy of your Ticket or of Platform materials for personal use, but you must not copy, modify, distribute or exploit content for commercial purposes without our prior written consent.

By uploading your own content (for example event images, descriptions, videos) you grant us a worldwide, royalty-free, non-exclusive licence to use, reproduce, distribute, display and create derivative works of that content for the purposes of hosting your Event listing, promoting it and operating the Platform.

You must not upload content that is unlawful, fraudulent, defamatory, obscene, infringing of third-party rights or otherwise objectionable. We reserve the right to remove or refuse any content at our discretion.

9. User Conduct and Prohibited Uses

You agree not to use the Platform for unlawful purposes or to infringe the rights of others. Prohibited activities include but are not limited to:

  • posting misleading, fraudulent or unlawful Event listings or Tickets;
  • attempting to interfere with Platform operations, hack, overload, disrupt or damage the Platform;
  • using bots, scripts or automated methods to purchase or reserve Tickets (unless explicitly permitted);
  • reselling Tickets at inflated prices (scalping) unless approved by the Event Organiser and the Platform;
  • transferring your account, credentials or using another person’s account;
  • any conduct that could violate Applicable Law or our policies.

We may suspend or terminate your account, block future purchases or listings if we determine you have breached these Terms.

10. Limitation of Liability and Disclaimers

To the fullest extent permitted by law, Tipsitickets, its officers, directors, employees, agents and affiliates shall not be liable for any direct, indirect, incidental, special or consequential losses, including loss of profit, revenue, business interruption, loss of data or goodwill, arising from your use, or inability to use the Platform, or your reliance on an Event listed.

The Platform and all content are provided “as is” without any warranty of any kind. We disclaim all warranties—whether express or implied—including merchantability, fitness for a particular purpose and non-infringement.

We do not guarantee that listed Events will take place as scheduled, nor that tickets will always grant you admission (an organiser may change location, time, line-up or seats). The Event Organiser is solely responsible for the Event.

Our liability in aggregate will not exceed the fees paid by you to us in the preceding 12-month period.

11. Indemnification

You agree to indemnify, defend and hold harmless Tipsitickets and its affiliates from any claims, damages, losses, liabilities, costs or expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the Platform, your Event listing (if you are an Event Organiser), or your purchase of a Ticket.

12. Termination

We may suspend or terminate your account, Event listing or access to the Platform at any time, with or without cause, including suspected fraud, non-payment, suspected breach of these Terms, or at our sole discretion.

Upon termination, you remain liable for any amounts owed (commissions, fees, refunds and similar amounts). Provisions which by their nature survive termination (such as indemnification, limitation of liability, intellectual property and governing law) will continue in full force.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of Kenya. Any dispute arising out of or relating to the Terms or the Platform shall be subject to the exclusive jurisdiction of the Kenyan courts unless otherwise agreed in writing.

14. Miscellaneous

If any provision of these Terms is deemed invalid or unenforceable under Applicable Law, that provision shall be restricted or severed to the minimum extent necessary and the remaining provisions will continue in full force.

Our failure to enforce any right or provision under these Terms does not constitute a waiver of such right.

These Terms (together with any Event listing terms, refund policy and Privacy Policy) represent the entire agreement between you and Us regarding your use of the Platform.
